역사적으로 정확한 문헌적 고증을 할 수 없어 창건연대 및 연원은 알 수 없으나, 1994년 발간된 "명주군의 역사와 문화유적"에 의하면 청학사 주지스님이 흑암사지에 암자를 지어 수행하던 중 당시 유물인 석불과 석조광배,탑재,금동불상을 발견하여 보관하여 오다 1984년 옛 사찰 자리에 청학사를 건립하여 봉안 보관하고 있는 사찰이라 기술하고 있음
